Business service terms Effective 2 November 2026 For organisations and individuals buying wholly or mainly for business or professional purposes. 1 Scope and authority These terms apply to organisations and individuals buying wholly or mainly for business or professional purposes. The person placing an order confirms authority to bind the named client. Before a company exists, we identify the actual contracting individual or entity rather than assuming a future company is already liable. These terms do not remove rights belonging to a person who is legally a consumer. 2 Supplier and contract 360COMPLIANCE LTD, company number 10539118, VAT number 388229357. Registered office: 154 Manor Park Road, London, England, NW10 4JR. Email: help@360compliance.co.uk. Telephone: +44 20 8111 1818. Website: https://www.360compliance.co.uk. The written order summary and these terms form the agreement when we expressly accept the order in writing. An automated acknowledgement, payment receipt, quotation or builder plan does not by itself form a contract. The specific scope agreed in writing controls service details; changes to other terms need express written agreement. 3 Services and cooperation We provide the specified consultancy services with reasonable care and skill. The order records deliverables, exclusions, revision limits, meetings, nominated contacts and milestones. The client supplies accurate and lawful instructions, evidence and approvals, provides reasonable access where required and implements operational changes. The client remains responsible for regulatory declarations and submissions. Neither CQC registration nor any rating, commercial result or regulatory decision date is guaranteed. 4 Fees and payment Website prices include VAT. The accepted order states one-off fees, recurring charges, any minimum term, the minimum total commitment and any agreed expenses. An invoice provides the net and VAT breakdown. One-off fees are payable in advance unless a staged arrangement is agreed. Additional work, travel and third-party costs require prior agreement. Payment is due on the date stated in the accepted order or invoice. We do not add an unstated late-payment or administration fee. 5 Timescales changes and suspension Delivery dates depend on the agreed scope and the client providing requested information and approvals. We flag a delay and its effect promptly. A requested change is priced and scheduled before work proceeds. If information or payment is overdue, we may pause the affected work after notice explaining what is required and allowing a reasonable opportunity to resolve it. We do not suspend a genuinely disputed portion of work solely to force payment of that dispute. Any new deadline is agreed rather than treated as guaranteed. 6 Cancellation of one-off work A business client has no general contractual fourteen-day cooling-off period under these business terms. For one-off consultancy services, email cancellation to help@360compliance.co.uk. Before work starts, advance fees are refunded less separately agreed and genuinely non-recoverable third-party commitments. After work starts, the client pays the fair value of work supplied up to cancellation and agreed unavoidable costs, allowing for savings and mitigation. We provide an itemised calculation without double recovery. Any refund balance is processed within 14 calendar days of cancellation. This one-off cancellation policy does not give a right to walk away from a portal minimum-term commitment; portal subscriptions follow the Subscription terms. 7 Appointment changes Business clients must email appointment cancellation or rescheduling requests to help@360compliance.co.uk. At least 48 hours’ notice permits changes without a scheduling charge. Later changes or non-attendance may incur actual reasonable loss that cannot be avoided, capped at the booked appointment fee. If we cancel, we offer a replacement date or refund the undelivered appointment. Pre-approved non-recoverable travel commitments are explained and agreed before booking. 8 Delivery and corrections The client reviews drafts and identifies factual corrections promptly. We remedy defects attributable to our failure to meet the agreed scope without an additional charge. New instructions, a changed service model or work beyond the agreed revisions are separately scoped. Silence does not authorise us to submit an application or make a regulatory declaration on the client’s behalf. 9 Rights and confidentiality After payment, the client receives a non-exclusive right to use agreed deliverables for the named business and service. This does not transfer ownership of our existing methods, templates, software or third-party materials. Reselling or supplying templates to unrelated organisations requires written permission. Each party protects the other’s confidential information and limits access to people who need it to perform the agreement, subject to legal disclosure duties. Separate data-processing arrangements are agreed where required by the actual service. 9A Client logo permission The business client grants 360COMPLIANCE LTD a non-exclusive, royalty-free permission to display its business logo, including the business name within that logo, on the Happy Clients section and client-logo carousel of our website solely to identify it as a client. The person accepting these terms confirms authority to grant that permission for the business and the rights it controls. We do not publish the service or package purchased, fees, contract values, commercially confidential details or results without separate written approval. Display does not imply an endorsement, partnership or guaranteed outcome. We follow reasonable brand-use instructions supplied by email. The client can email help@360compliance.co.uk to request removal; we aim to remove website placements we control within ten working days. There is no obligation to supply a testimonial. This permission does not cover paid advertising, unrelated marketing uses or logos owned by another party without its authority. 10 Ending the contract for breach Either party may end the affected agreement for a material breach that is not corrected within a reasonable period stated in an emailed notice, or immediately where the breach cannot reasonably be remedied. We may decline instructions involving dishonesty or unlawful conduct. The financial consequences depend on the applicable agreement and law; no minimum-term clause makes a client pay for services where our material breach legally entitles that client to end the contract without those charges. Confidentiality and valid document-use rights survive termination. 10A Official business notices The client must send routine instructions, approvals, complaints, cancellation and other contractual notices to help@360compliance.co.uk. We send notices to the client email recorded in the accepted order, which the client must keep current. Telephone, social-media and WhatsApp conversations do not replace an official business notice unless we expressly confirm the instruction by email. A notice takes effect when it reaches the designated email system in readable form; it does not depend on our acknowledgement. Statutory service requirements and any legal right to use another channel are unaffected. 11 Responsibility and disputes Nothing excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or anything else that cannot lawfully be excluded. We remain responsible for losses for which we are legally liable. Complaints go to help@360compliance.co.uk, with the two-working-day acknowledgement and ten-working-day substantive response targets. The law and courts of England and Wales apply unless a different written agreement or mandatory law requires otherwise.
